Skyline Energy is guided by acting responsibly and sustainable. We therefore adhere to applicable laws and general principles of good governance. We also expect all of our suppliers to comply with all applicable laws as well as the following principles as set out herein.

This Supplier Code of Conduct is supplemental to any contractual agreement that might exist between a supplier and the Skyline Energy. To the extent there is a contradiction between any provision of this Supplier Code of Conduct and such a contractual agreement, the respective provisions of the contractual agreement shall prevail.


We expect our suppliers to comply with the following principles:

1. COMPLIANCE WITH LAWS AND REGULATIONS

Our suppliers comply with all applicable laws and regulations.


2. BUSINESS CONDUCT ANTI-CORRUPTION

Our suppliers shall comply with all applicable laws, including the Foreign Corrupt Practices Act (“FCPA”; US legislation against corruption abroad), the Bribery Act 2010 (UK Anti-Corruption Act), the Criminal Code of the United Kingdom and the Czech Republic, and other anti-corruption laws, to the extent they are applicable to their business. Suppliers refrain from offering anything of value to officers or individuals to secure contracts or other benefits. They also demand the same integrity from all third parties with whom they themselves are in a business relationship.


INVITATIONS AND GIFTS

Invitations and gifts do not serve the purpose of exercising improper influence. In case invitations and gifts are given to employees of the Skyline Energy, or a close relative thereof, they are appropriate in nature and for the specific occasion; i.e. of low value and within the rules applicable to the Skyline Energy. Likewise, no such unreasonable advantages are expected from Skyline Energy employees.


FREE COMPETITION AND PREVENTION OF CONFLICT OF INTERESTS

The economic decisions of suppliers are made exclusively on the basis of objective criteria. Suppliers comply with applicable laws relating to anticompetitive behavior.


MONEY LAUNDERING

Suppliers comply with statutory regulations relating to the prevention of money laundering and do not participate in money laundering activities themselves.


3. EMPLOYEES AND HUMAN RIGHTS

Our suppliers respect internationally recognized human rights and observe conventions, agreements, and laws to protect these human rights and fundamental freedoms. They also outlaw any and all forms of modern slavery.

PROHIBITION OF FORCED LABOR

The principle of freely chosen employment is a basis for moral and sustainable business. For this reason, our suppliers reject forced labor and ensure that their respective suppliers, which are part of the supply chain of the Skyline Energy, comply with the same principles.

PROHIBITION OF HUMAN TRAFFICKING

Our suppliers strictly reject practices of human trafficking, including the recruitment, transport, transfer, accommodation, or reception of persons by the application or threat of violence or other forms of compulsion for the purpose of exploitation. Our suppliers at all means avoid any business activity that could even remotely be related to the consequences of such practices.

PROHIBITION OF CHILD LABOR

Our suppliers reject child labor and cooperate exclusively with such third parties, which also adhere to the fundamental labor standards recognized by the international community in this area.

CONFLICT MINERALS

Suppliers undertake to comply with all applicable laws regarding conflict minerals. If a product contains one or more of the so-called conflict minerals, the supplier undertakes to provide, upon demand, complete evidence of the respective supply chain until the melting smelter.

APPROPRIATE WORK CONDITIONS AND FAIR COMPENSATION

Our suppliers ensure adequate working conditions for their employees. This includes compliance with the applicable laws relating to working conditions, working hours, and holidays. Our suppliers also comply with applicable laws relating to minimum wages or, in the absence of such laws, avoid deliberate payment below the subsistence level.

PROHIBITION OF DISCRIMINATION

Our suppliers do not discriminate against anybody based on race, color, religion, sex or gender, age, national origin, sexual orientation, family status, veteran status, disability, or any other characteristic protected by applicable laws.

FREEDOM OF ASSOCIATION

Our suppliers comply with the applicable laws regarding the freedom of association of their employees and refrain from any restriction or repression of employee representation activities, e.g. the establishment of works councils.

COOPERATION IN TARIFF NEGOTIATIONS

Our suppliers ensure sincere and open-ended negotiations with representatives of its employees in collective bargaining. They do not attempt to restrict or otherwise influence the collective bargaining efforts of their workforce.


4. HEALTH AND SAFETY

Our suppliers comply with all applicable laws and regulations regarding work safety and health and endeavor to create a safe and hygienic work environment for their employees. In addition, they operate an adequate management system for health and safety at the workplace.


5. PROTECTION OF THE ENVIRONMENT

Our suppliers observe all applicable laws and regulations as well as international standards for the protection of the environment. They minimize any negative impact their business may have on the environment and avoid wasteful handling of resources.


6. COMPLIANCE WITH THE SUPPLIER CODE OF CONDUCT

In order to ensure compliance with the Supplier Code of Conduct, the Skyline Energy, as part of its discussions with suppliers, reviews their efforts in relation to the principles set out herein. In addition, the Skyline Energy will regularly ask its suppliers to carry out a self-assessment with regard to the Supplier Code of Conduct and inform the Skyline Energy of the results. The Skyline Energy also has the right, at its own discretion, to audit its suppliers with regard to the topics regulated in the Supplier Code of Conduct. Any violation of the principles set out in the Supplier Code of Conduct constitutes a material breach of the contractual obligations of the supplier against the Skyline Energy. In such a case, the Skyline Energy reserves the right to take appropriate measures, including an extraordinary termination of all contractual relations between the supplier and the Skyline Energy.
